Definitions:

In this document, "we," "us," and "our" are all assumed to relate to DFC Designer Furniture Company. DFC Designer Furniture Company will always be referred to as "The Company" in any references. The plural is to be interpreted as including the singular, and vice versa. MFUK Design & Furniture Limited is the owner of the website www.designerfurniturecompnay.com. The Company is the owner of the contents and the copyright. Without the previous approval of the Company, any reproduction of pictures or content is prohibited. Despite our best efforts, we cannot guarantee that the information on the website is true and accurate, we do not warrant this fact.

The Company or business placing the order with the Company is called "The Customer."
The item or item detailed in the order is referred to as "the goods." The order is the request made to the Company for the provision of goods.
The DFC Designer Furniture Company has the right to modify these terms and conditions at any time without providing you with prior notice, and such modifications shall be effective as of the date they are posted.

Trade Accounts

As a trade-only supplier, DFC Design Furniture Company requires potential customers to register a trade account and provide documentation of their business dealings. In addition to filling out a full application form, which is available on our website at www.designerfurniturecompany.com, the potential buyer may be asked to present documentary proof of their business dealings in the form of business invoices, a VAT certificate, etc.

The Company maintains the right to reject any application that it deems to be insufficient or not meeting the necessary requirements, as well as the right to immediately terminate any trade accounts.

Purchase of Products & Payment

Orders for items should be submitted online or in writing. Calls placed to place orders cannot be taken. Orders are contingent on a deposit or acceptable credit, as further detailed in the terms and conditions.

Orders must be received with a deposit before they may be confirmed in the absence of credit terms. A pro forma invoice will include details on the deposit, which must be paid within five business days of the order's placement. We reserve the right to revoke the order after this period without warning. Prior to the delivery of the products, full payment is required. When the items are prepared, we will notify you, and the date of delivery is contingent upon receiving payment. Payments must always be made in British pounds, and we only accept bank transfers. The conditions of the agreement must be followed where there are credit terms. The credit account could be suspended without warning if the conditions are not followed.

We reserve the right to impose interest on past-due amounts at a rate that fluctuates up to 5% over The Barclays Bank's lending rate. Please make sure that the funds received in Sterling, following exchange rate movement and bank costs, are sufficient the amount of the invoice when payment is being made by foreign banks or when the transaction is subject to fees. Up until all outstanding debts have been settled, ownership of the items does not change and they continue to be the Company's property.

Stock of products

DFC takes pride in having the majority of things in stock and making them quickly available to consumers. However, because it is not updated in real-time and we receive orders from consumers in a variety of ways, the availability of products as shown on our website cannot be guaranteed. While we make every effort to update the stock information on our website as regularly as possible to increase accuracy, if there is ever a discrepancy between the stock that is actually available and the stock that is shown on our website, we will let you know as soon as we get your order.

Formation of contract

These terms and conditions of business apply exclusively to all contracts made by The Company; they will supersede any terms found in any documents supplied by the client.

Trading terms

Prices, conditions, product offerings, and finishes are all subject to revision by the Company at any moment, thus changes may be made without prior notice.

The Company retains the right to require customers who sell our items online to do so at least as low as the RRP indicated in our price list.

All of our products that are posted or sold on a third-party website must be identified by the seller's brand name, "DFC"

Pricing Policy

Unless otherwise noted, the prices are in sterling and do not include VAT, freight, or installation at the applicable rate. The Company retains the right to alter prices whenever it wants and without warning. The customer shall have the right to cancel the order and get a full refund if the price of the ordered items increases between the time of order and the time of shipment. Value-added tax is applied to invoices at the appropriate rate. 

Before any VAT may be repaid when products are shipped outside of the EU and we are not providing the delivery service, we will need evidence of export. In these situations, invoices will be issued together with a VAT deposit, and we'll need the entire amount due before we release the products for shipping. Before we can release goods without charging VAT when they are sold to a customer who is VAT registered in an EU member state, we need a valid VAT number. In order to exempt the sale from UK VAT if we are not handling the export of the items, we will also need documentation of export.

recommended retail price, or RRP. All of our home furnishings collections come with minimum suggested selling prices from DFC Designer Furniture Company.

Returns: damaged, unwanted or disputed goods

In the odd event that you receive a product that is flawed in any way, we will try our utmost to fix it, replace it, or give you a refund. In some cases, you'll need to pay a replacement invoice before receiving a replacement. Once the original items have been handed back to us in the same condition they were received in, you will be given a credit or refund in this case. We reserve the right to recover the defective items and issue a complete refund without providing a replacement or replacement parts.The Company will only offer replacement fittings or parts if the goods' fittings or other parts ever become defective.  The Company will not be held responsible for any loss or costs caused to the customer.

All damaged or unwanted items must be reported to our customer care team within 48 hours of delivery to help us provide exceptional service and avoid unclear situations. Any complaints should be made by filling out the Returns Form on our website (https://www.designerfurniturecompany.com/returns/) and attaching the necessary images of any flaws.

Within specific geographical areas, DFC is able to offer site visit services to check an item's claimed issue. DFC retain the right to impose a charge of £60 plus VAT for the inspection should a claimed defect be connected to improper installation of a product or failure to follow installation instructions.

It will be the buyer's obligation to make sure the items are thoroughly inspected in accordance with our notice period above when we are asked to deliver to a warehouse or other holding site. We request that the goods be opened and examined within 48 hours so that any problems can be notified before the deadline for filing claims. Damage discovered more than 48 hours after we delivered the goods will not be covered by our liability policy. Damage claims resulting from product misuse or during installation are not accepted by us. Once the equipment is installed, we do not accept damage claims. Before installation, any damage must be inspected and reported to us.

If the Company agrees to repair a product, we shall cooperate with the customer to complete the repair as soon and effectively as possible. We occasionally struggle to provide precise timeframes for the execution of such repairs due to the nature of the product and frequently specialised finishes. We need highly trained craftspeople to carry out repairs to the required standard. While we will make every effort to secure these services as soon as possible, occasionally they may not be easily accessible. We reserve the right to pick up the merchandise and issue a full refund if we believe the period required for repair is unreasonable.

We are pleased to accept undamaged, boxed product in its original inner and outer packaging when goods are returned without a defect in exchange for a credit to the customer's account. We request that customers return any unsatisfactory goods within 10 business days of receiving them. If the goods is returned more than 10 working days after delivery, we won't accept it. On the return of an undamaged, boxed goods in its original packaging, we do impose a 20% restocking fee. In addition, we demand that the item be delivered back to our warehouse. 3 working days after the products are received in the warehouse, we can process a credit. Without the prior approval of the Company and all associated charges. Returns of items from the customer will not be accepted without the company's prior approval, and any associated fees will be the customer's duty and expense.

When the delivery driver comes to pick them up, all returned items must be in their original packing, including cardboard and bubble wrap. They also need to be prepared for loading. Any things that are not properly packaged in accordance with this section may result in drivers refusing to collect them.Please make sure that whoever is unwrapping the products is very careful and maintains both the outside and inner wrapping of the original package. The things must be sent safely and returned without damage, so the original packing is crucial. We cannot accept any returns that do not include the original packaging.

All returns must be sent back in their original packaging and undamaged state. We are unable to accept the return for a credit to your account if the goods are returned either without the original packing or not in the condition they were sent in. If a return is declined in accordance with the aforementioned terms, we will demand that you pick up the item(s) from our warehouse within two weeks of delivery and provide us three working days' notice. We retain the right to dispose of products if they are not picked up within two weeks of receipt in our warehouse.

When returning products, the client must notify the company in writing within 72 hours after delivery that the returned goods (or any portion of them) will be ready for pick-up. The company will plan for collection on the following available mode of transportation. Before deciding whether to issue a refund, all returned items are thoroughly inspected by quality control. The final determination of whether an item is defective or not rests with DFC Designer Furniture Company. Each case will be evaluated on its own merit, and the amount of the refund given to the Customer is at the Company's discretion. A Credit Note will be given to the customer once the decision to refund has been reached.

We have a legal contract with the person who bought the items (our customer). We will deal directly with our customer in any transactions involving the return, repair, replacement, or refund of a product or any customer interactions. We won't be under any contractual obligation to the third party if our client is an interior designer and the goods were bought to be sold to them. As a result, all after-sales support will be provided to our customers and not to any other parties with whom we do not have a contract.

Deliveries

Every delivery is done between the hours of 9 am and 5 pm, Monday through Friday. The delivery date will be communicated via email in advance. Unless otherwise specified, the standard lead time for delivery is five to ten working days following the receipt of full payment. Since all of the company's trucks operate on a multi-drop schedule, an exact delivery time cannot be guaranteed. Usually, we may let the customer know in advance if the delivery will happen in the morning or afternoon.

The buyer will be required to arrange pick-up from the seller's warehouse if the seller reserves the right to decline to arrange delivery for some orders to specific areas.

Unless otherwise agreed in writing with DFC, the Company's usual delivery is one-man delivery exclusively to a business address. Unless otherwise indicated and the extra has been paid, all deliveries are standard with a one-man drop to the ground-floor entrance of the front door. The drivers are alone and may need help unloading; if not, please ask about our improved delivery service when placing your purchase.

For an additional service fee that will be applied to the order's usual delivery cost, we can additionally deliver to a residential location or directly to a third party (the buyer's customer). If the delivery is made to a residential address or a third party, we need that at least a representative of our trade customer be present. Alternatively, with advance notice, trade customers can schedule collection from our warehouse.

The customer must print their name and sign for each delivery in front of the driver. The actual quantity unloaded must be documented in writing and countersigned by the customer on the delivery note in the unlikely event that the number of boxes is less than or exceeds the quantity stated in the delivery note. The products would be returned to the company and the customer would be charged for the re-delivery of the goods if no one was available to sign for the delivery. 

At the time of delivery, certain items must be inspected by our trade clients in front of the driver. The seller will specify this in advance via email. In such circumstances, it is the Customer's duty to organise for a representative to inspect these things. If you don't check these things, your claims for damages may be rejected.

Please be aware that moving products inside your home is not covered by our insurance; it only protects us for delivering the goods to your front door. Drivers bringing stock into the Customer's premises may cause damage, but the Seller is not responsible for any damages. The driver is required to be with their car at all times and not leave it unattended.

Collection by Customer from our warehouse

We welcome consumers to arrange pickup from our warehouse in Bishops Stortford, Hertfordshire, United Kingdom. Any collection must be scheduled via email at least 48 hours in advance.Depending on the space in our warehouse that is available, we will email you to confirm the collection. When consumers decide to organise their own collection, there are no savings offered. We demand that items be inspected at the point of collection when they are picked up by customers or by outside transporters. Once the goods has been picked up from us, we take no liability for loss or damage to it.

If you wish to postpone or cancel a collection, we ask that you give us at least 24 hours' notice. Within 24 hours of the booked booking, collections that are cancelled or modified may be subject to a fee.

When a product is available for delivery, we will inform the client and agree a delivery / collection time. Carriage is an additional charge and non-refundable.

Storage

We can hold the stock of your order in our warehouse up to 30 days from the date of Sales Order. Storage will charges at the rate of £50 plus vat per week per item.

Where items are customised, no refunds will be given in line with our terms on cancellation of custom orders. 

Use of goods

All our furniture is suitable for residential domestic and light commercial use only. All upholstery is suitable for domestic use.

Standards

For residential use only, every DFC upholstery product complies with British fire rating standards. DFC lighting is all CE certified.

Internet Sales 

Each item from our collection that a retailer wishes to sell online must first receive permission from the Company. High resolution photos are another thing the company can offer.

All of our products that are offered on a third-party website must be identified by the brand names "DFC" and "Product" of the Seller. The retailer may not change the product name unless authorised to do so in writing by the Company.

The Company reserves the right to require that our items be sold on client websites at a minimum RRP plus VAT that is indicated in our price list. To ensure compliance, kindly request the most recent version of the price list on a frequent basis.

The Company cannot guarantee stock unless the stock is secured for you with a paid deposit because the Company's stock fluctuates often and the stock on the Seller's website is not updated on a live system.

Only with specific permission from the company and with the brand name "DFC" from the company should images of products and living room photos from our website or provided by the company be used. Customers who want to utilise the Company's product photographs in print or digital media must request explicit authorization for each individual item in writing. Unless specifically authorised in writing by the Company, no imagery provided by the Company or obtained from online sources and produced by the Company may be used without a mention of or affiliation with "Designer Furniture Company."

All designs are the exclusive property of the Company and may not, under any circumstances, be duplicated or reproduced. Copyright laws are in effect.

Product codes alone cannot be used to look for the Company's items on any popular search engines. The Company disapproves of the use of'multi retailer' shopping cart systems for sales and prohibits the sale of DFC Designer Furniture Company items in this manner.

The company prohibits the sale, marketing, or advertising of DFC products on websites like eBay, Amazon, or other multi-retailer selling platforms as well as social media platforms.

The Company can only arrange delivery to the account address or the warehouse of the Retailer. The Company does not arrange delivery to Retailers’ customers.

New applications from customers without retail premises which are open to the public may be refused at the Company’s own discretion.

Cancellations

Prior to DFC's written acceptance, no purchase order or agreement to sell goods will become effective.

Orders for customised goods cannot be cancelled by Buyer.

All other orders may be cancelled or amended by DFC t/a Designer Furniture Company within 5 (five) working days of the order confirmation, unless the parties have otherwise agreed in writing. Any additional modifications or cancellations of an order require written consent from MFUK and may be subject to restrictions imposed at DFC's sole discretion.

DFC has the right to remedy any errors or cancel the order if the pricing, discounts, or delivery dates are based on an apparent error.

Product Design and Characteristic

There should be no reproduction or copying of any designs because they are all the exclusive property of DFC Designer Furniture Company Ltd. Copyright laws are in effect.

Every effort is made to guarantee that the product description is accurate and true throughout all publications. However, we frequently use non-identical natural resources to create our products. In terms of tone, colour, and/or texture, pieces frequently differ from one another subtly. This is especially valid for goods made of natural components. Due to the above-mentioned variances in materials, the products that we promote using photographs may not be an exact match to another product. Customers who are concerned about the compatibility of the products should get in touch with our sales staff, who will be able to discuss the specific products in detail.

We may occasionally alter or slightly change the design of the items. We cannot accept these as a fault. We reserve the right to change specification without prior notice.

EACH PIECE HAS DIFFERENT SMALL VARIATIONS AND HAND MADE RELATED FINISHES AS A RESULT OF ALL OUR PRODUCTS BEING HAND-MADE, SPECIFICALLY METAL AND GLASS FURNITURE AND UPHOLSTERY PRODUCTS. THIS IS NOT A DEFECT, BUT ONE OF THE CHARACTERS OF HAND-MADE FURNITURE. In order to join the various parts of metal furniture or components together, small welding points may be present at the junctions. ALL HAND-MADE METAL AND GLASS FURNISHINGS SHOW THIS QUALITY IN PARTICULARITY.FOR THE ITEMS WITH THESE CHARACTERISTICS, NO REPLACEMENT CAN BE PROVIDED.

A SMALL AMOUNT OF COLOUR AND DIMENSIONAL VARIATION FROM THE STANDARD DIMENSIONS PROVIDED IS POSSIBLE IN ALL OF OUR PRODUCTS DUE TO NATURAL MATERIAL CONTENT.

A FEW HANDLES ARE MADE SOLELY BY HAND. SMALL WELDING POINTS AT JUNCTIONS, MINOR VARIATIONS IN SIZE AND FORMS DUE TO CUTTING OR CASTING PROCESSES, AND FINISH VARIATIONS ARE ALL PART OF EACH PIECE. THESE INTERNAL CHARACTERISTICS ARE PART OF THE HAND-MADE NATURE OF THE PIECES AND ARE NOT THEREFORE CONSIDERED DEFECTS. THE ITEMS WITH THESE CHARACTERISTICS CAN NOT BE REPLACED.

Guarantee

Every product from DFC comes with a 1-year manufacturer's warranty. This guarantee applies to goods which fail in normal use and service and which are returned to us within twelve months from the date of invoice. This guarantee does not apply to accidental damage, misuse of the item or damage caused by improper assembly. 

The Company shall attempt to address any claims made under the guarantee in the event of an agreed claim and in the first instance by providing repairs to the products or replacement parts where possible. A full replacement will be given if the delivery of replacement parts is not feasible or offers a solution. A credit or refund for the full invoiced value of the damaged products delivered under this contract will be given if an item cannot be fixed, replaced, or repaired.

The Company shall not be liable for any defect in, failure to perform, or unsuitability for any purpose of the goods or any part thereof, whether the same be due to any act, omission, negligence, or willful default of the Company or its servants or agents, or to defective design, workmanship of the material, or to any other cause whatsoever, except as expressly provided herein and except in respect of death or personal injury resulting from the negligence of the Company. All other guarantees and conditions, whether stated or implied, whether arising under common law legislation or otherwise, are superseded and excluded by this warranty.
